Entreupia – Terms of Service

1. Scope of Service

Entreupia is a production platform that connects fashion brands with carefully vetted clothing manufacturers. Our role is to manage and coordinate the production process on the client’s behalf to provide clarity, structure, and reduced operational risk.

Our services include, but are not limited to:

Tailored factory matching

Manufacturer vetting

Production coordination

Ongoing communication management

Quality follow-up and checkpoints

Timeline and milestone tracking

Logistics coordination

Issue handling and escalation management

Centralized project oversight

Entreupia acts as the main point of coordination between the client and the manufacturer unless otherwise agreed in writing.

2. Project Fees

Entreupia offers different service tiers depending on the level of support required

Explore is a free option that includes project exploration feasibility review and basic guidance before committing to production

Factory Matching starts at 350 dollars per project and is designed for brands that want to manage production themselves while receiving tailored manufacturer matching and coordination support

Production Support starts at 900 dollars per project and includes full production coordination with oversight communication management and quality checkpoints

Partner is a custom pricing model designed for long term production partnerships with dedicated support priority handling and tailored solutions

The exact project fee depends on the scope complexity and production requirements and will be clearly defined before project initiation

This fee covers factory matching sampling coordination production oversight communication management quality follow up and administrative and operational handling throughout the project depending on the selected service tier

Multiple Products

If a project includes multiple distinct products with different materials structures or production requirements additional coordination fees may apply depending on the scope and complexity

Color variations of the same design are considered one product

Minor design adjustments may be reviewed internally to determine if they fall within the same product scope or require an additional fee This evaluation is based on the actual coordination effort required

3. Deposits & Payments

A deposit is required only after Entreupia has reviewed and confirmed the project can be supported

The deposit amount depends on the project type and scope and will be freely discussed and agreed upon prior to project initiation

The deposit is part of the total project fee and not an additional cost For example within the Production Support package starting at 900 dollars a deposit such as 50 percent may be required depending on the project

Clients may request a meeting before any payment is made

Deposits initiate factory matching and project activation Deposits are non refundable once factory matching and coordination work has begun as operational work is immediately started

If Entreupia is unable to identify a manufacturer capable of meeting the project’s core production requirements the client will be eligible for a refund of the project fee If a suitable manufacturer is identified the project fee remains non refundable Suitability is determined by Entreupia based on the agreed project specifications

4. Service Guarantee

All approved projects are covered by the Entreupia Service Guarantee.

Entreupia guarantees that:

Approved documentation, specifications, and instructions are communicated accurately to the manufacturer.

The production process follows the agreed technical and documented requirements.

Coordination, follow-up, and service execution are handled professionally and responsibly.

Limitations of Guarantee

The guarantee does not cover:

Incorrect, incomplete, or unclear information provided by the client.

Subjective design preferences or aesthetic expectations.

Fit perception, creative interpretation, or brand taste decisions.

Entreupia guarantees process accuracy and service execution, not subjective outcomes.

5. Client Responsibilities

Clients are responsible for:

Providing accurate tech packs and specifications

Reviewing and approving samples carefully

Communicating feedback clearly and within reasonable timeframes

Confirming production decisions before bulk manufacturing begins

Delays in responses or incomplete documentation may extend timelines and are outside Entreupia’s control.

6. Production & Manufacturers

Entreupia connects clients with independent third-party manufacturers. While manufacturers are vetted, Entreupia does not own factories and is not the legal manufacturer of any goods produced.

Entreupia remains the coordination and communication point unless otherwise agreed in writing.

7. Manufacturer Responsibility & Liability Disclaimer

Entreupia acts strictly as a coordination and production management platform. Factories and suppliers introduced through Entreupia are independent third-party entities operating under their own management and legal responsibility.

While we take care to match clients with reliable and vetted manufacturers, Entreupia is not liable for manufacturer-specific promises, delivery guarantees, operational decisions, delays, or performance outcomes that fall outside our direct coordination role.

Our responsibility is to:

Coordinate communication

Facilitate fair production agreements

Oversee documentation and follow-ups

Support issue resolution when possible

However, final production execution, delivery commitments, and factory performance remain the responsibility of the manufacturer itself. Entreupia cannot legally guarantee the independent actions or promises of third-party factories.

8. Timelines

Production timelines vary depending on:

Manufacturer capacity

Material sourcing

Sampling revisions

Client response times

Holidays and external logistics factors

All timelines provided are estimates, not guarantees.

9. Liability Limitation

Entreupia’s liability is limited to the service fee paid for the specific project. Entreupia is not liable for indirect losses, lost profits, or delays caused by external factors including but not limited to shipping, customs, natural events, political changes, or manufacturer operational disruptions.

10. Cancellations

Clients may cancel before the deposit is paid with no obligation.

After deposit payment and project activation, fees are non-refundable due to operational work already performed.

Bulk production cancellations depend on manufacturer terms and are outside Entreupia’s direct control.

11. Communication & Conduct

Both parties agree to maintain professional and respectful communication. Entreupia reserves the right to discontinue collaboration if communication becomes abusive, unlawful, or uncooperative.

12. Acceptance of Terms

By proceeding with a project and submitting payment, the client acknowledges and agrees to these Terms of Service.

Entreupia’s mission is to reduce risk, increase transparency, and provide a structured, professional production experience from concept to delivery while acting as a trusted coordination partner, not a manufacturer.
